Responsibilities
Server4sale is looking for an experienced Company Secretary to provide administrative support and guidance to company directors.
Job Responsibilities:
- Must be Graduate OR above Graduate.
- Develop Standard Operating Procedures by understanding the workflow.
- Provide Secretarial support to Top Management
- Pleasant and responsible personality.
- Assess legal documents of the Company and ensure legal protection.
- Review and assign litigation matters to external counsel based on similarity of issues in question, i.e., Point of law, dispute, provincial law, relevant courts, etc.
- Review of employee agreements to reflect current Employment Laws and Regulations, reducing open-mindedness and employee lawsuits.
- Review all Agreements/ Contracts to analyze and identify recurring disputed matters on defaults/ disputes and strengthen relevant contract clauses to preempt future liabilities.
- Carry out Client activities as per manual/policy and improve on existing processes as and when needed.
- Take notes from CEO and Director Administration for official correspondences.
- Organizing, preparing agendas for, and taking minutes of board meetings board committees and annual general meetings.
- Ensuring that the company complies with its Memorandum and Articles of Association and, drafting and incorporating amendments in accordance with correct procedures.
- Participating as a key member of the company team, protecting the company’s interests by ensuring the effectiveness of all documentation.
- Coordinate with the Board of Directors and Management
- File documents with Registrar of Companies
- Ensure documentary requirements as per Companies Act
- Organize, prepare agendas, hold general meetings, and record minutes
- Ensure that policies are up to date and are approved
- Drafting and execution of agreements, contracts, and resolutions
- Any additional responsibilities as assigned by Management.
Required Skills
- Sufficient Seniority, skills and stature to fulfill the strategic as well as traditional roles of company secretary.
- At least 5-8 years of working experience in the related field.
- Proactive, dependable and able to work independently
- Prepared to undertake significant and ongoing professional development in order to stay current with a rapidly changing field.
- Strong communication skills
- Proficient in Microsoft Office applications
- Candidate must possess excellent interpersonal and communicating effectively with people at levels.

- Initiative and Change Driven.
- Must have strong English speaking Skill
